The Board of Selectmen held a special noticed meeting to make decisions on pending issues.
1) The Board agreed to hire Maria Brown on a 60 day trial period. She will replace Charles McGettigan as Welfare Officer. She has agreed to work on a trial basis with compensation within the present budget for the year. She will be working on a “as-needed” basis for the trial period.
2) The next item was the amended bylaws of the WLT Ambulance and Rescue Association. The Board reviewed the proposed amended bylaws and discussed concerns and suggested changes and additions.
Chairman Donovan was concerned that the actual name of the Ambulance Service was changed legally and if the name of the service was the same on the mortgage of the ambulance bay. Mr. Donovan would like to make sure the bylaws specify the fact that the acting director is under service at the pleasure of the Ambulance Board.
Chairman Donovan stated that the change to the bylaws could have been a “Restatement of Articles of Agreement” rather than a change to the bylaws.
The change that the BOS agreed to is that the members of the Wilton/Lyndeborough/Temple Ambulance and Rescue Association are now the Towns of Wilton, Lyndeborough and Temple and not individual Board Members. This change will allow the Association to procure their Workmen’s Compensation Insurance through the Local Government Center independently of the Town of Wilton’s insurance coverage. The ambulance is presently insured under the Town of Wilton’s insurance policy through PRIMEX. PRIMEX has issued three bills for the years 2004, 2005 and 2006 on payroll previously not reported. The BOS agreed that the invoices need to be paid by the three town members of the ambulance service.
Chairman Donovan suggested that RSA 292:2 V-a (a) should be included in the Bylaws. The RSA states that the articles of agreement may contain a provision eliminating or limiting the personal liability of a director, an officer, or both, to the corporation or its shareholders for monetary damages for breach of fiduciary duty as a director, an officer, or both, except with respect to: etc.
Chairman Donovan made a motion to sign agree and sign the following:
“In accordance with the Bylaws of the Association, the Selectmen of the Town of Wilton hereby appoint the following as Directors of the Association, to hold office until the next Annual Meeting of the Association unless their time in office as Director is earlier ended by resignation or otherwise.”

The motion was seconded by Selectman Rockwood and passed unanimously.
Selectman Donovan also wanted it to be noted that the amended Articles of Agreement should be filed with the Secretary of State, the NH Charitable Trust Department and the Town Clerk of each member Town.
The meeting was adjourned at 5:15 on a motion, with all in favor.
